INTERIOR DECOR (PRAYER SPACE) AGREEMENT

____________ (Client) is hiring Dominique Perry, My PRAYER SPACE, LLC (Designer) to do interior decor. The following sets forth the agreement between these two parties and binds them both. In performing their respective obligations under this agreement the parties agree that their relationship is not that of partners, employees or part-time employees of the other party. Designer is solely responsible for all taxes, withholdings, insurance, and any other obligations that may apply to an independent contractor.

General Description of Interior Decor: Interior Decor is a broad category of services. The specific services provided by MY PRAYER SPACE, if different from the list of general services below, will be detailed in writing between the Client and MY PRAYER SPACE prior to the engagement. These services may include, but are not limited to: 

Programming & Schematic Design: Programming includes, but is not limited to, conducting research; identifying and analyzing the needs and goals of the Client; assessing the existing environment, and evaluating project resources and limitations. A successful design requires the teamwork of both the Client and MY PRAYER SPACE, therefore consultations with the Client or family members will help MY PRAYER SPACE fully understand the goals for the desired outcome. 

Merchandise Specification: Furniture, furnishings, textiles, accessories, and building materials (collectively referred to as Merchandise) are an integral part of the design process. MY PRAYER SPACE works with the Client in narrowing the selections based on the Client's desired scheme. 

Additional: Designer may decline, or charge additionally for, work that Designer reasonably deems to be beyond this scope.

MY PRAYER SPACE DISCLAIMER 

Ownership of Designs: All concepts, drawings and specifications prepared by MY PRAYER SPACE and all copyrights and other proprietary rights applicable thereto remain at all times MY PRAYER SPACE property. Project Documents may not be used by the Client for any purpose other than completion of the Project by MY PRAYER SPACE. If the nature of the Project requires engagement by the Client and/or any contractors to perform work based upon MY PRAYER SPACE concepts, drawings or interior design specifications, the Client will enter into contracts directly with the concerned contractor after obtaining written approval from MY PRAYER SPACE. 

Design Disclaimer: MY PRAYER SPACE cannot be held responsible for designs that may be undesirable later or cause inconvenience. The Client understands that all interior designs may represent the opinion and tastes of the designer as the designer interprets the Client's goals and wishes

Confidential Information

Any information supplied by one party to the other marked as "Confidential" must be used only for the purposes of this agreement and must not be disclosed to other parties without the discloser's written consent. This does not apply to information that is publicly available or that the recipient already properly knew, developed or received independently. When the agreement terminates, Designer must return to Client any materials containing confidential information. Confidentiality obligations survive termination of this agreement.

Payment

Design Fee: $_______ = [$30 per square foot X ______]

A deposit of 60% ($_______) is due at the time of signed agreement. 40% ($________) is due five days prior to design day.

Product Retainer: $2,500

This is an estimated investment for curated furnishings, lighting, decor, and items for prayer space. This amount is a retainer that covers all products that will be sourced and procured for your space. Final itemized receipt will be provided upon project completion, if any remaining funds, it will be reallocated back into design or returned within 14 days of design day.

Travel Fee

Design fee includes standard travel within 15 miles of Designer's location in Atlanta, Georgia โ€“ South Fulton. Travel beyond 15 miles will be billed at $0.725 cents per mile (2026 IRS standard mileage rate) and added to the final invoice.

Delay Fee

If for any unforeseen reason due to, and not limited to, delays on the Client end such as not being home at the arrival time of the Designer, or space not being prepared, there will be an additional $125 for time spent preparing space or waiting on clientโ€™s arrival.

Late Payment

Any amount not received by its due date will result in a delay and/or cancellation of design day. Upon completion of the work, Designer will invoice Client for any amount remaining due. Payment is due on the invoice date, or as specified in the invoice.

LIMITED WARRANTY

DESIGNER WARRANTS THAT NO OBLIGATION TO A THIRD PARTY PROHIBITS DESIGNER FROM ENTERING INTO THIS AGREEMENT, AND THAT TO DESIGNERโ€™S KNOWLEDGE, WORK PRODUCED UNDER THIS AGREEMENT WILL NOT VIOLATE THE INTELLECTUAL PROPERTY RIGHTS OF ANY THIRD PARTY.

LIMITATION OF LIABILITY

UNLESS A RESULT OF GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, THE LIABILITY OF EITHER PARTY TO THE OTHER FOR ANY TYPE OF DAMAGES SHALL BE LIMITED TO THE AMOUNT OF DESIGNER'S TOTAL FEES UNDER THIS AGREEMENT.

Termination

If either party materially breaches this agreement, the non-breaching party may terminate the agreement only by providing written notice of the breach to the breaching party. The breaching party shall have 5 days to cure the breach after receiving such notice. If the breaching party fails to cure the breach in that time, the agreement shall terminate except with respect to those obligations that are noted herein as surviving termination.

If the agreement terminates for any reason other than a material uncured breach by Designer, then Designer is immediately entitled:

Any unpaid fees prorated for the portion of the work completed at the time of termination

Liquidated damages in the amount of $795, which the parties agree represents fair compensation for the harm Designer would suffer from termination. 

The above payment obligation, and any payment obligations pending at termination, survive termination.

We are an intimate, faith based company. We believe in respect, trust and doing business with integrity, love and compassion. If for any reason, the Designer does not believe these guidelines are being reciprocated, it is within the Designers discretion, and right to terminate this agreement.

Miscellaneous

Covid Precautions. If client or anyone in the household feels sick or think they may have COVID-19, the designer is to be notified. A new design date will be scheduled.

AGREEMENT

This is the parties' entire agreement on this matter, superseding all previous negotiations or agreements. It can only be changed by mutual written consent.

The laws of the state of Calumet city, IL govern this agreement and any disputes arising from it must be handled exclusively in courts in that state. The prevailing party in any dispute will be entitled to recover reasonable costs and attorneys' fees. 

By signing below the Client and MY PRAYER SPACE acknowledges terms and conditions contained within this Agreement and further acknowledge that this Agreement, along with subsequent written correspondence regarding, but not limited to, pricing, fees, terms and timelines together represent a complete contract between the Client and MY PRAYER SPACE.

Signing a copy of this agreement, physical or electronic, will have the same effect as signing an original.
